Using SBA Backed Loans for a Small Business Acquisition, update for 2011

Looking to buy your own business or thinking about selling your existing business? Financing plays a big part in making or breaking a deal. This is an update and brief overview on how SBA 7A (business acquisition) loans can help you with either one of these scenarios.

Let me startby saying that the Federal Government doesn't lend money to business owners to buy or sell businesses; the SBA Guarantees 75% of the loan (was 90%) that the bank lends provided the loan fits the SBA's criteria. Maximum 7(a) loan size is $5,000,000 and unsecured limit is $1.2MM. If the "Goodwill" (sales price minus tangible assets) are $500K or more, then the buyer must put 25% down. Down payment funds cannot be borrowed. Below is an example;

Business Purchase Price: $1,000,000

Business Tangible Assets (Net Book Value) $175,000

Intangible Assets ("Goodwill") $825,000

Working Capital $100,000

Closing Costs & SBA Fees $40,000

Total Project $1,140,000

Buyers Funds

Equity Injection (25%) $285,000

Seller 5% 2^nd mortgage -$57,000

Working Capital -$100,000

Buyer out of pocket at closing $128,000 (plus $100,000 in working capital account)

This is a WIN WIN for both buyer and seller as the seller gets to cashout 95% (seller takes a 5% second position note).

The Buyer gets to leverage the deal, buy a $1mm business with around $200k to $300k in EBITDA with $228k out of pocket, ($128k down+$100k working capital). Deals without real estate are amortized for 10 years. Real Estate has 25 year amortization.

For 2010 the 12 most active banks in the State of Florida made 747 SBA loans for a total of over $290mm, the average loan was for $389k.
